A creation should not need to compromise its nature in order to exist legally. Gruber Works is the designed — not yet filed — sovereign EU legal bridge for the entire EvoBioSys holonic network.
Gruber Works — EvoBioSys legal/institutional layer · design spec, no filing yet
Every holon eventually needs a legal home. None of them has one yet.
As the EvoBioSys network grows, its projects begin needing things only a legal entity can provide — invoice issuance, VAT registration, contractual capacity, banking, liability containment, regulatory filings. Today, that entity does not exist: what invoices real clients is WonderFul Consulting, Jakob's pre-existing consulting practice — not Gruber Works.
Status per the internal roadmap (2026-07-03); no SS or filesystem evidence of an actual SE incorporation in progress.
Societas Europae — genuinely European, not merely national.
The SE (Societas Europae, EU Council Regulation No. 2157/2001) is a company form recognized across every EU/EEA member state at once. It can transfer its registered office between member states without dissolving and re-incorporating — a portability no national company form matches.
For Gruber Works the SE is a deliberate choice: it aligns with EvoBioSys's sovereignty philosophy (EU data protection, EU corporate law, EU jurisdiction) and future-proofs the structure as holons expand across markets — at the cost of a higher setup bar than a freelancer platform.
Higher setup complexity, in exchange for sovereignty.
| Criterion | Gruber Works SE | Xolo Go | Stripe Atlas | Estonian OÜ |
|---|---|---|---|---|
| Jurisdiction | EU, state of choice | Estonia (via Xolo) | USA (Delaware) | Estonia |
| Cross-border mobility | Full | None — not your entity | None — US-locked | Limited |
| Own VAT number | Yes | No | No | Yes |
| Multi-project holding | Designed for it | Single-freelancer | Possible, undesigned | Possible w/ restructuring |
| Setup complexity | Higher | Very low | Low | Moderate |
| Long-term sovereignty | Full, EU-native | Platform-dependent | US jurisdiction-dependent | Good, single-state |
Xolo Go suits a freelancer who wants zero admin burden but accepts no owned entity. Stripe Atlas optimizes for US market access. The Estonian OÜ is a genuine EU entity, locked to one member state. Gruber Works SE accepts the higher setup bar for maximum long-term sovereignty.
Your creation's bridge to state institutions.
Creative and technological work does not naturally speak the language of state bureaucracy. Tax authorities want invoices with specific fields; banks want articles of incorporation; insurers want a legal person to underwrite. Gruber Works is designed to translate — without absorbing the holons it serves.
What the bridge would carry
Invoicing and VAT compliance, contractual standing, EU-regulated banking, liability containment, and regulatory filings — for any holon that needs one.
What it does not do
It does not absorb a holon's identity or operating logic. Each project keeps its own culture; Gruber Works only provides the surface state institutions recognize.
Design complete. Filing not started.
Already real
- Comparative legal analysis — SE vs. Xolo Go vs. Stripe Atlas vs. Estonian OÜ, a genuine decision artifact.
- WonderFul Consulting — Jakob's existing consulting practice, almost certainly the entity actually invoicing today.
- The marketing/spec page — live and complete; further along in narrative than in legal reality.
Not yet real
- No SE filed. No incorporation records found anywhere in the project's own files.
- No fee model drafted. Retainer + per-transaction toll is a design target, not a costed schedule.
- No pilot client. No holon has routed a real invoice or contract through Gruber Works yet.
The economic engine, as designed: a membership/retainer fee from each holon that routes through Gruber Works, plus a small per-transaction toll — with WonderFul Consulting's existing client billing as the one revenue stream that is real today. None of this is implemented; it is the design target the holon is validated against once (a) the vessel is actually filed and operating, (b) at least two holons besides WonderFul Consulting route real invoices through it, and (c) retainer-plus-toll income covers overhead without subsidy.
Comparative analysis + spec page complete; SE unfiled.
Confirm WonderFul Consulting's legal status; draft the fee schedule.
SE-vs-interim-vessel decision; pilot one real invoice through the chosen vessel.
Professionalizing with heart.
The legal structure should serve the creative mission, not the other way around. Compliance handled, but never defining the work — a container built for decades, not a vehicle for a single exit.
A single sovereign EU legal home, so every other holon can stay on the creative side of the bridge — that is the entire reason Gruber Works exists.
Legal counsel. A first pilot holon. A costed fee schedule.
The nearest concrete unlock: confirming WonderFul Consulting's actual legal status and jurisdiction, and finding the first holon willing to route one real invoice through whatever vessel gets chosen.
